Terms of Service

Signupkit is operated by Elementra LLC, a company registered in Delaware, USA ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Signupkit platform at signupkit.co (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree, you must not use the Service.

Description of Service

The Service allows users ("Creators") to create and manage signup forms for events, activities, and coordination. Features include form creation, participant registration, contact management, email communications, document storage, and branding options. Participants may sign up without accounts.

Account Registration

  • You must be at least 13 years old.
  • Provide accurate, complete information.
  • You are responsible for your account security and all activities under it.
  • Notify us immediately of unauthorized use.

Plans and Payment Terms

Plans

  • Free Plan: Limited to 5 forms, 20 participants per form.
  • Weekly Pass: $12 one-time, 7 days of Pro features.
  • Pro Monthly: $10/month, unlimited features.
  • Pro Yearly: $99/year, unlimited features.

Billing and Payments

  • Processed securely via Stripe (subject to Stripe's terms).
  • Subscriptions auto-renew; cancel anytime (effective end of period).
  • No refunds for partial periods; Weekly Pass non-refundable.
  • Discretionary refunds for Pro plans within 30 days of initial purchase.
  • We may change prices with 30 days' notice.

Acceptable Use

Permitted

Use for legitimate events, data collection, and communications.

Prohibited

You agree not to:

  • Violate laws or rights.
  • Collect data from minors without consent or highly sensitive info (e.g., SSN, financial details beyond subscriptions).
  • Send spam or unsolicited messages.
  • Upload harmful content.
  • Access unauthorized areas or use automation excessively.
  • Impersonate or provide false info.
  • Infringe IP.

We may monitor, remove content, or suspend/terminate for violations.

User Content and Participant Data

You own your content/data ("User Content") and are responsible for its legality/accuracy. You grant us a worldwide, non-exclusive license to host, process, and display it for the Service, improvements, and backups.

Creators are solely responsible for participant data: obtaining consents, complying with laws (e.g., GDPR, CCPA), and proper use. We process it on your behalf and are not liable for your handling.

Intellectual Property

The Service and its materials are owned by us or licensors. You may not copy, modify, or distribute without permission.

Third-Party Services and Links

The Service may link to third-party sites/services (e.g., Stripe). We are not responsible for them; use at your risk. Review their terms/privacy.

Service Availability and Modifications

We strive for availability but do not guarantee it. Unavailability may occur due to maintenance, issues, or force majeure (e.g., acts of God, cyberattacks). We may modify or discontinue features/Service with/without notice.

Limitation of Liability and Warranties

THE SERVICE IS "AS IS" WITHOUT WARRANTIES. WE DISCLAIM ALL IMPLIED WARRANTIES.

TO THE MAXIMUM EXTENT PERMITTED:

  • No liability for indirect/consequential damages.
  • Total liability capped at amounts paid in prior 12 months (or $100 if none).

Indemnification

You indemnify us against claims arising from your use, content, or violations (including attorney fees).

Termination

You may delete your account anytime. We may suspend/terminate for violations, non-payment, or any reason. Upon termination: access revoked, data deleted (export available beforehand; backups retained briefly).

Dispute Resolution and Governing Law

Governed by Delaware law. Disputes resolved in Delaware courts. No class actions; you waive jury trial.

Copyright Infringement (DMCA)

To report infringement, contact us at hello@elementra.io with details (work description, location, your info, good faith statement).

Changes to Terms

We may update Terms. Material changes notified via email/Service. Continued use constitutes acceptance.

General

These Terms + Privacy Policy are the entire agreement. Severable; non-waiver; we may assign.
